HELSINKI, March 10, 2023 /PRNewswire/ — Caverion Corporation (“Caverion“) supplements its stock exchange release published on March 8, 2023, with the following information:

As announced on January 24, 2023, Elo Mutual Pension Insurance Company, Ilmarinen Mutual Pension Insurance Company, Mandatum Life Insurance Company Limited and Varma Mutual Pension Insurance Company, together representing approximately 15.4 percent of Caverion’s all issued and outstanding shares (the “Shares“) and votes, have previously renewed their irrevocable undertakings to accept the tender offer by North Holdings 3 Oy (“North Holdings“) for all the Shares (the “Tender Offer“), and Veritas Pension Insurance Company Ltd., which holds approximately 0.6 percent of all Shares and votes in Caverion, has given an irrevocable undertaking to accept the Tender Offer (the “Irrevocables“). These Irrevocables may be terminated in the event that a competing offer is announced by a third party with a consideration of at least EUR 8.95 per Share and North Holdings does not match or exceed the consideration offered in such competing offer within a certain period of time. Since Crayfish BidCo Oy has announced an improved competing tender offer with an offer consideration of EUR 8.95 per Share and North Holdings has not matched or exceeded the consideration offered in said improved competing tender offer, the understanding of the Board of Directors of Caverion is that the Irrevocables have seized to be in effect.
